Welcome to AdvisorZen AI, LLC ("Platform"), an AI-driven platform designed exclusively for qualified professional wealth managers. By accessing or using our platform, you agree to be bound by these Terms and Conditions ("Terms"). Our platform supports wealth managers in generating content effectively, efficiently, and comprehensively, customized to the needs of each user, and fosters professional community engagement for enhanced practice management.

To use our platform, you must be a qualified professional wealth manager. During registration, you are required to provide a company email, website (if available), and phone number, and confirm that you are a professional wealth manager. Organizations signing up on behalf of multiple users are responsible for ensuring each user meets the eligibility criteria. By registering, you agree to provide accurate and complete information and to maintain the confidentiality of your account credentials.

All data entered into the platform, including user profile data, prompts, AI-generated content, and user activity data, will be stored in a secure company database. Personal data will be stored separately from anonymized data. The platform retains this data for the duration of the company's existence. Only anonymized data may be shared with third parties, including investors, strategic partners, or potential acquisition candidates. Users may request the deletion of specific data related to identifiable personal or client information. However, users do not have the right to access or export data stored on the platform.

We reserve the right to use data stored on our system for improving AI models, conducting research, and other purposes related to enhancing platform functionality. We may sell or share anonymized data with third parties, including potential investors, partners, or acquisition candidates. By using the platform, you grant us a license to use your data as described.

Users are granted a license to use AI-generated content for professional purposes only. The platform retains rights to use, modify, and distribute this content for marketing purposes, third-party data analytics, and further enhancement of the platform’s capabilities.

We comply with all relevant data protection regulations in the U.S. and Canada. Users have the right to request the deletion of specific personal or client data, such as names, addresses, or phone numbers. The platform will not provide access to or allow the export of data, which remains exclusively with AdvisorZen AI, LLC, or its successors and partners.

Users are expected to conduct themselves professionally and adhere to general guidelines consistent with the nature of a professional wealth management environment. Prohibited behaviors include unauthorized use of sensitive information, attempts to reverse engineer the AI models, and using the platform for any unlawful activities. The platform is not responsible for the content generated or shared by users.

AdvisorZen AI, LLC is not a financial advisor. The AI-generated content provided by the platform is for informational purposes only, and users should verify the accuracy and truthfulness of the content before relying on it. The platform disclaims any warranties regarding the continuous availability, accuracy, and reliability of the services provided. The liability of AdvisorZen AI, LLC is limited to the amount of fees paid by the user in the last 12 months.

You agree to indemnify, defend, and hold harmless AdvisorZen AI, LLC, its affiliates, and partners from any claims, damages, or losses resulting from your use of the platform, including but not limited to the misuse of the AI-generated content or unauthorized disclosure of sensitive information. This indemnification does not cover cases of gross negligence or willful misconduct by the platform.

We reserve the right to terminate or suspend your account at our discretion, particularly in cases of egregious misuse of the platform, such as unauthorized use of sensitive data or attempts to compromise platform security. Upon termination, you will no longer have access to your account, and any data associated with it may be deleted or retained as deemed appropriate by the platform.

We may modify these Terms at any time. Any changes will be communicated to users via email with at least 10 days' advance notice. Continued use of the platform after changes are made constitutes acceptance of the new Terms.

These Terms are governed by the laws of the State of Connecticut. Any legal actions or proceedings arising under these Terms will be filed in the jurisdiction of Connecticut.

- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AdvisorZen AI, LLC concerning your use of the platform.
-Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
-Force Majeure: AdvisorZen AI, LLC shall not be liable for any failure to perform its obligations under these Terms due to unforeseen events beyond its control, such as natural disasters, acts of war, or government actions.
